1. Agreement to Terms

The specific scope, deliverables, timeline, and pricing for each project are defined in individual project proposals and service agreements provided to clients after initial consultation. These project-specific documents form an integral part of these Terms and Conditions.

4. Engagement Process

Our standard engagement process involves the following steps:

• Preparation and presentation of a custom project proposal
• Client review, feedback, and approval of the proposal
• Execution of a formal service agreement or contract

Work begins only after mutual agreement on the project scope, timeline, and pricing. Any changes to the agreed scope will be documented and may result in adjustments to the timeline and cost.

5. No Guaranteed Outcomes

While we apply our expertise and follow industry best practices in all our work, we do not guarantee specific outcomes, including but not limited to:

• Specific search engine rankings or positions
• Exact return on investment (ROI) figures
• Specific revenue or lead generation numbers
• App store approval or specific download numbers
• Specific conversion rates or traffic volumes

Digital outcomes are influenced by numerous external factors including market conditions, competition, algorithm changes, and user behavior. We commit to professional execution and transparent reporting of results.

6. Payment Terms

Payment terms are specified in each individual project proposal and service agreement. General payment policies include:

• Payment schedules are typically milestone-based for development projects and monthly for ongoing marketing services
• An advance payment may be required before work commences, as specified in the project proposal
• Invoices are due within the timeframe specified in the agreement (typically 7-15 business days)
• Late payments may result in project delays or suspension of services
• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• Applicable taxes (GST) will be added to the quoted prices as per Indian tax regulations

7. Intellectual Property

Upon full payment of all agreed fees, the client receives ownership of the custom work product (code, designs, content) created specifically for their project, unless otherwise stated in the service agreement. We retain the right to use general methodologies, frameworks, and non-proprietary tools developed during the project. We may request permission to showcase the completed project in our portfolio with appropriate attribution.

8. Client Responsibilities

To ensure successful project delivery, clients are expected to:

• Provide accurate and complete information about their requirements and business
• Respond to communications and review requests in a timely manner
• Provide necessary access, credentials, and materials as required for the project
• Designate a primary point of contact for project-related communications
• Review and provide feedback on deliverables within the agreed timeframes
• Make payments according to the agreed schedule
• Ensure that all materials provided to us do not infringe on any third-party rights

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, technical specifications, customer data, financial information, and any other information designated as confidential. This obligation survives the termination of the service agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Dev Anna 360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to the use of our services or website. Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

11. Termination

Either party may terminate a service engagement by providing written notice as specified in the individual service agreement. In the event of termination, the client is responsible for payment for all work completed up to the date of termination. Any advance payments for work not yet performed will be refunded on a pro-rata basis, minus any costs already incurred.

12. Dispute Resolution

In the event of any dispute arising from these terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation and mediation. If the dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam, India.

13. Changes to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after any changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.

14. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal proceedings related to these terms shall be conducted in the courts of Guwahati, Assam, India.
